Welcome to Kioto (also referred to as "Kioto iLMS", "the Platform", "we", "us", or "our"), an intelligent learning management system ("LMS") operated for universities, colleges, and educational institutions. These Terms and Conditions ("Terms") govern your access to and use of the Platform, including all related websites, applications, services, and content (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2.1 You must be at least 18 years of age, or have the consent of a parent or legal guardian, to create an Account. Users under 18 may only use the Service with verifiable parental or guardian consent.
2.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account. Notify us immediately of any unauthorised use.
2.3 You must provide accurate, current, and complete information during registration and keep it updated.
2.4 We may refuse, suspend, or terminate any Account at our discretion where we reasonably believe these Terms have been breached or where required by law.
3.1 The Service provides tools for managing classes, assignments, submissions, grading, discussions, notifications, and AI-assisted evaluation. Features may vary by role (student, lecturer, administrator).
3.2 You agree to use the Service only for lawful educational and administrative purposes and in accordance with these Terms and your Institution's policies.
3.3 We grant you a non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose. No other rights are granted.
You must not:
We reserve the right to remove content and suspend Accounts that violate this section.
5.1 The Platform, its design, code, trademarks, logos, and all related materials are owned by us or our licensors and are protected by intellectual property laws, including the Kenya Copyright Act.
5.2 You retain ownership of the Content you upload. By uploading Content, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, process, display, and transmit that Content solely for the purpose of providing the Service to you and your Institution.
5.3 You warrant that you have the necessary rights to upload any Content and that it does not infringe third-party intellectual property or privacy rights.
6.1 The Platform offers AI-assisted evaluation of assignments using third-party large language models. AI output is provided as a draft suggestion only.
6.2 AI-generated scores, feedback, and recommendations are never final. A lecturer or authorised marker must review, edit, and approve any result before it becomes an official grade. The final decision always rests with a human.
6.3 AI output may contain errors, omissions, or bias. You must not rely on it as the sole basis for academic, disciplinary, or administrative decisions.
6.4 Where an Institution supplies its own API key ("Bring Your Own Key"), the Institution is responsible for that key, its usage limits, and associated costs.
6.5 You consent to your submission content being transmitted to our AI provider for evaluation, subject to the Privacy Policy.
The Service integrates with third-party services (e.g., email delivery, Telegram, AI providers). Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.
The Service may be provided free of charge or under a licence agreement between us and your Institution. Where fees apply, they are agreed separately. We may change pricing with reasonable notice; continued use after a price change constitutes acceptance.
9.1 To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for purpose, availability, accuracy, or non-infringement.
9.2 We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or academic standing, arising from your use of the Service.
9.3 Our total aggregate liability for any claim arising out of these Terms or the Service shall not exceed the amount paid (if any) for the Service in the twelve (12) months preceding the claim.
9.4 Nothing in these Terms excludes liability that cannot be excluded by law, including liability for fraud or gross negligence.
You agree to indemnify and hold harmless Kioto and its affiliates, officers, and staff against any claims, losses, damages, or expenses (including legal fees) arising from your breach of these Terms, your Content, or your misuse of the Service.
11.1 You may stop using the Service and request deletion of your Account at any time.
11.2 We may suspend or terminate access immediately where we reasonably believe there is a breach of these Terms, a security risk, or a legal requirement.
11.3 Upon termination, your licence ends. Provisions that by their nature should survive (intellectual property, limitation of liability, indemnity, governing law) continue to apply.
12.1 These Terms are governed by the laws of the Republic of Kenya.
12.2 Any dispute shall first be attempted to be resolved amicably. Failing that, disputes shall be referred to the courts of Kenya, which shall have exclusive jurisdiction.
We may update these Terms from time to time. We will notify users of material changes via the Platform or email. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
For questions about these Terms, contact us at support@kiotoilms.local or through your Institution's administrator. Data-protection enquiries should be directed to our Data Protection Officer (see Privacy Policy).
These Terms should be read together with our Privacy Policy.
